Terms of Service

1. Agreement to Terms

By accessing or using Mixplit ("Service"), operated by Thierry Bombard ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and the operator of Mixplit regarding your use of the Service.

2. Description of Service

Mixplit is an AI-powered audio stem separation service that allows you to:

  • Upload audio files (MP3, WAV, FLAC, M4A, OGG, WEBM)
  • Separate audio into individual stems (vocals, drums, bass, other/instrumentals)
  • Download the separated stems for personal or commercial use

The Service uses AI technology to process your audio files. Results may vary depending on the source material quality and complexity.

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate and complete information during registration
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

You must be at least 16 years old to create an account and use the Service.

4. Credits and Payments

4.1 Credit System

Mixplit operates on a credit-based system. Credits are measured in minutes of audio processing time. When you process an audio file, credits equivalent to the file's duration (rounded up to the nearest minute) are deducted from your balance. For example, a 3-minute and 10-second track will use 4 credits.

4.2 Purchasing Credits

Credits are purchased as one-time payments. There are no recurring subscriptions. Available credit packs and pricing are displayed on our pricing page. All prices are inclusive of applicable taxes (including VAT).

4.3 Payment Processing

Payments are processed securely through LemonSqueezy. By making a purchase, you also agree to LemonSqueezy's terms of service.

4.4 Right of Withdrawal and Refund Policy

Under EU consumer law (Directive 2011/83/EU, Article 16(m)), you have a 14-day right of withdrawal from the date of purchase.

However, by checking the consent box before purchase, you expressly request that the delivery of your digital credits begins immediately and you acknowledge that you thereby lose your right of withdrawal once the credits have been added to your account.

If you did not use the consent mechanism, or if there was a technical error preventing you from using the Service, you may exercise your right of withdrawal by contacting us at contact@mixplit.io within 14 days of purchase. You may also use the model withdrawal form.

If you exercise your right of withdrawal and have already used some credits, we will refund the proportional amount corresponding to unused credits. For any refund request, we will respond within 14 days as required by law.

4.5 Credit Expiration

Purchased credits do not expire and remain available in your account until used.

5. User Content and Intellectual Property

5.1 Your Content

You retain all rights to the audio files you upload and the stems generated from them. We do not claim any ownership over your content.

5.2 License to Process

By uploading content to Mixplit, you grant us a limited, non-exclusive license to process your audio files solely for the purpose of providing the stem separation service. This license terminates when your files are deleted (automatically after 24 hours).

5.3 Your Representations

By uploading content, you represent and warrant that:

  • You own or have the necessary rights to the audio content
  • Your use of the Service does not infringe on any third party's intellectual property rights
  • You have obtained any necessary permissions or licenses for the content

5.4 Mixplit Intellectual Property

The Service, including its design, features, and technology, is owned by Mixplit. You may not copy, modify, distribute, or create derivative works based on the Service without our explicit permission.

6. Acceptable Use

You agree not to use the Service to:

  • Upload content that infringes on others' copyrights or intellectual property rights
  • Process illegal, harmful, or offensive content
  • Attempt to reverse-engineer, hack, or compromise the Service
  • Use automated systems (bots, scrapers) to access the Service
  • Resell or redistribute the Service without authorization
  • Circumvent any security measures or access controls

We reserve the right to suspend or terminate accounts that violate these terms.

7. File Storage and Deletion

Important: All uploaded audio files and generated stems are automatically deleted 24 hours after processing is complete. You must download your stems before this period expires. We are not responsible for any loss of files after this period.

8. Service Availability

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled or emergency maintenance
  • Technical issues beyond our control
  • Third-party service disruptions

We will make reasonable efforts to notify users of planned downtime in advance.

9. Service Quality and Warranties

AI-powered stem separation is a complex process. The quality of results depends on the source material (recording quality, mix complexity, etc.), and we cannot guarantee perfect separation in all cases.

While results may vary, the Service is subject to the legal guarantee of conformity as described in Section 10 below. This guarantee cannot be excluded or limited by contract for consumers within the European Union.

10. Legal Guarantee of Conformity

In accordance with Articles L217-3 et seq. of the French Consumer Code (Code de la consommation), the digital content provided by Mixplit is subject to the legal guarantee of conformity. If the digital content does not conform to the contract, you have the right to have it brought into conformity or, failing that, to a price reduction or contract termination, in accordance with the conditions set out in Articles L217-10 et seq.

This guarantee applies for a period of 2 years from the supply of the digital content, as provided by Directive (EU) 2019/770 as transposed into French law.

11. Limitation of Liability

To the maximum extent permitted by applicable law, and without prejudice to the legal guarantee of conformity (Section 10), our liability shall be limited as follows:

  • We shall not be liable for any indirect, incidental, special, or consequential damages
  • We shall not be liable for loss of profits, data, or business opportunities resulting from the use of the Service

Our total liability for direct damages shall not exceed the amount you have paid for the Service in the 12 months preceding the claim. This limitation does not apply to damages caused by our wilful misconduct or gross negligence.

12. Indemnification

You agree to indemnify and hold harmless Mixplit and its operator from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your infringement of any third party's rights
  • Content you upload to the Service

13. Modifications to Terms

We may modify these Terms from time to time. We will notify you of any significant changes at least 30 days in advance by posting a notice on the Service or sending you an email. If you do not agree with the modified Terms, you may stop using the Service and request a refund for any unused credits. Your continued use of the Service after the modification takes effect constitutes acceptance of the modified Terms.

14. Termination

We may suspend or terminate your access to the Service for violation of these Terms. Upon termination:

  • Your right to use the Service will immediately cease
  • If we terminate your account without cause, we will refund the monetary value of any unused credits
  • If your account is terminated for violation of these Terms, unused credits will be forfeited
  • Provisions of these Terms that should survive termination will remain in effect

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of France. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of France.

For consumers residing in the European Union, this does not affect your rights under mandatory consumer protection laws of your country of residence.

16. Dispute Resolution and Consumer Mediation

Before initiating any legal proceedings, you agree to first contact us at contact@mixplit.io to attempt to resolve any dispute informally.

In accordance with Articles L612-1 et seq. of the French Consumer Code (Code de la consommation), you may submit any consumer dispute to a mediator free of charge. We have designated the following consumer mediator:

17. Right of Withdrawal — Model Form

In accordance with Annex I(B) of Directive 2011/83/EU, a model withdrawal form is available. You are not required to use this form; you may also communicate your withdrawal decision by any clear statement (e.g., email to contact@mixplit.io).

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
